About Us

Daris Tele Limited is a strategic communications and public affairs advisory firm based in Abuja, Nigeria. These Terms govern your engagement with us and use of our website (daristele.com). By engaging our services or using our website, you agree to these Terms.

Our Services

We provide government relations, public relations, investment marketing, energy sector intelligence, capacity building, and thought leadership advisory services. The specific scope of any mandate is defined in an Engagement Letter, which takes precedence over these Terms in the event of a conflict.

Fees and Payment

All fees are set out in the applicable Engagement Letter and are in Nigerian Naira unless agreed otherwise, exclusive of VAT. Retainer fees are due within 14 days of invoice. Overdue balances accrue interest at 2% per month. Daris Tele may suspend services where payment is overdue by more than 30 days.

Confidentiality

Both parties agree to keep all information shared during an engagement strictly confidential, use it only for the purposes of the mandate, and not disclose it to third parties without prior written consent. This obligation survives termination for five (5) years. Daris Tele will not publicly disclose any client’s identity without written consent.

Intellectual Property

All Daris Tele methodologies, tools, and publications remain our property. Subject to full payment, clients receive a non-exclusive licence to use deliverables for internal purposes only. Clients may not publish, sublicense, or publicly attribute deliverables to Daris Tele without prior written consent.

Our services represent professional advisory guidance and do not constitute legal, financial, or investment advice. We do not guarantee any specific outcome from government engagement, media coverage, or investment activities. Website content reflects our views at time of publication and is not a definitive statement of law or policy.

Limitation of Liability

Daris Tele’s total liability under any engagement shall not exceed fees paid in the three (3) months preceding the claim. We are not liable for loss of profits, loss of reputation, indirect or consequential damages, or outcomes of government or third-party decisions beyond our control.

Termination

Either party may terminate a retainer with 30 days’ written notice. Daris Tele may terminate immediately for non-payment (overdue more than 30 days), material breach unremedied after 14 days’ notice, or if continued engagement would require acting contrary to law or professional ethics. All outstanding fees become due immediately upon termination.

Dispute Resolution

Disputes will first be referred to senior representatives for good-faith negotiation (14 days), then to mediation if unresolved (30 days), and finally to binding arbitration under the Arbitration and Mediation Act 2023, seated in Abuja, Nigeria. Either party may seek urgent injunctive relief from a court at any time.

Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. The parties submit to the non-exclusive jurisdiction of Nigerian courts for matters not resolved by arbitration.
